TERMS & CONDITIONS AND USER AGREEMENT

Effective Date: August 18, 2026

These Terms & Conditions and User Agreement ("Terms") govern your use of the Stay Golden Custom website and your purchase of products and services from 9892788 Canada Inc., doing business as Stay Golden Custom ("Stay Golden Custom", "we", "us" or "our").

These Terms apply to website purchases, custom quotes, invoices, proofs, purchase orders, telephone orders, email orders, reorders and other transactions with Stay Golden Custom.

By submitting an order, accepting a quote, paying an invoice or deposit, approving a proof, creating or using an account, checking a box indicating acceptance of these Terms, or otherwise instructing Stay Golden Custom to proceed with work, you agree to these Terms.

 

1. AUTHORITY TO PLACE AN ORDER

By placing or approving an order, you confirm that you are legally capable of entering into the transaction.

If you are placing an order on behalf of a company, organization, team, school, association or other entity, you confirm that you have authority to place the order and bind that entity to the applicable order and these Terms.

You are responsible for ensuring that all information, instructions, quantities, sizes, shipping information and approvals supplied to Stay Golden Custom are accurate.

 

2. WEBSITE AND ACCOUNT USE

You may use our website only for lawful purposes and in accordance with these Terms.

If you create an account, you are responsible for maintaining the confidentiality of your account information and for activity occurring through your account.

You may not attempt to interfere with the operation or security of our website, access systems or information without authorization, scrape or reproduce proprietary website content for commercial purposes, submit fraudulent orders, impersonate another person or organization, or use our services in violation of applicable law.

We may restrict or terminate access to the website or an account where we reasonably believe these Terms have been violated.

 

3. QUOTES AND PRICING

Unless otherwise stated, custom quotes are valid for 30 days from the date issued.

Quotes are based on the quantities, garments, products, decoration methods, artwork, delivery requirements and other specifications known to Stay Golden Custom when the quote is prepared.

A quote may be revised if quantities, products, artwork, decoration locations, production requirements, shipping requirements or other specifications change.

Quotes may also be revised following review of final artwork where the artwork requires materially different production methods, additional colours, additional decoration locations, special setup or other work that was not reasonably apparent when the original quote was prepared.

Any material pricing change will be communicated to the customer before production begins.

Quoted unit pricing is generally based on the full quantity being produced as one production run. If a customer requests that an order be divided into separate production dates, releases or print runs, each production run may be priced separately to account for additional setup, labour and production time.

Website pricing, automated pricing tools and product pages may contain typographical, technical or data errors. If an obvious pricing or product-information error is discovered before production, Stay Golden Custom may correct the error and provide the customer with the option to approve the corrected order or cancel the affected portion for a refund of amounts paid for that affected portion.

Unless otherwise stated, all prices are in Canadian dollars and applicable taxes are additional.

 

4. GARMENT SIZES AND PRODUCT PRICING

Unless otherwise specified, quoted garment pricing applies to sizes Small through XL. Unless otherwise requested or stated, sizes is assumed to be adult sizing.

Sizes XXL and larger may be subject to additional charges because of higher wholesale garment costs.

Pricing may vary by garment colour, size, brand, product configuration, decoration method or supplier.

 

5. PAYMENT TERMS

Unless otherwise agreed in writing, payment is required upfront and in full before production begins.

Where Stay Golden Custom has approved a deposit, or credit arrangement or other payment terms, payment must be made according to those agreed terms.

Stay Golden Custom may suspend production, withhold shipment or pickup, pause future work or decline additional orders while an account has an overdue balance. The customer is responsible for reasonable costs incurred by Stay Golden Custom in collecting valid overdue amounts, to the extent permitted by applicable law.

 

6. WHEN PRODUCTION BEGINS

Estimated production timelines do not begin merely because a quote has been requested or an initial inquiry has been submitted.

Unless otherwise confirmed in writing, the production timeline begins only after Stay Golden Custom has received the required payment or deposit, final order details, required artwork, proof approval and any other information or authorization necessary to produce the order. Product availability must also be confirmed or secured before production can proceed.

Delays in payment, artwork, approval, sizing, information or customer responses may affect the production and delivery timeline.

 

7. ORDER CONFIRMATION AND CUSTOMER CHANGES

Customers are responsible for reviewing order summaries, quotes, invoices and proofs carefully before approval.

Changes may generally be requested before final proof approval and before goods or production resources have been committed to the order.

After approval, Stay Golden Custom cannot guarantee that changes can be made because garments may already have been ordered, artwork may already have been prepared, screens or embroidery files may already have been created, or the order may already have entered production.

Changes requested after approval may result in additional costs and production delays.

Stay Golden Custom will advise the customer of material additional charges before proceeding with the requested change where reasonably practicable.

 

8. CANCELLATIONS

Custom merchandise is produced specifically for the customer and may involve non-recoverable costs before physical decoration begins.

If a customer cancels an order after approval or payment, the customer is responsible for reasonable costs already incurred or committed by Stay Golden Custom, including garments, products, supplier charges, artwork, digitizing, setup, screens, films, shipping and production labour.

Any refundable balance remaining after applicable costs have been deducted will be returned to the customer.

Once decoration or custom manufacturing has begun, the affected portion of an order may no longer be cancellable or refundable.

Nothing in this section limits cancellation or refund rights that cannot legally be excluded.

 

9. ARTWORK AND PROOF APPROVAL

Stay Golden Custom may provide digital proofs, mockups or previews before production.

The customer is responsible for carefully reviewing all proofs before approval.

This includes spelling, grammar, names, numbers, dates, artwork, colours, quantities, garment colours, decoration locations, approximate decoration size and other visible details. Note that colours may display differently across different screens and devices based on the individual colour profile on each monitor.

Stay Golden Custom's production team produces orders based on the approved production information.

Once a customer approves a proof containing an error, typo, omission, incorrect date, incorrect name, incorrect number or other visible issue that was present in the approved proof, Stay Golden Custom is not responsible for reproducing the order because of that approved issue.

Artwork files and proofs may generally be changed before approval. After approval, Stay Golden Custom cannot guarantee that artwork can be updated because the order may already have entered the production process.

 

10. DIGITAL PROOFS, MOCKUPS AND COLOUR REPRESENTATION

Digital proofs and mockups are visual production guides and are not photographs of the finished product.

Screen displays, device settings, garment photography, lighting and digital rendering can cause colours to appear differently from the physical garment, ink or embroidery thread.

Stay Golden Custom will make commercially reasonable efforts to reproduce approved artwork and requested colours accurately, but exact colour matches are not guaranteed unless a specific colour-matching requirement has been expressly agreed to in writing.

The apparent scale, garment colour and placement shown on a digital mockup may vary slightly from the physical finished product.

 

11. PRODUCTION VARIATIONS AND TOLERANCES

Custom printing and embroidery are physical manufacturing processes and are subject to reasonable production variation.

Minor differences between individual pieces in placement, ink coverage, print texture, colour, embroidery, stitching or other characteristics may occur and do not necessarily constitute a defect.

The standard acceptable variation for artwork placement on a garment is approximately 0.5 inches from the intended position. In some circumstances, placement may vary by up to a maximum of 0.75 inches in any direction.

Variation within these tolerances will not by itself constitute grounds for rejection or reproduction of an order.

Certain garments, seams, pockets, zippers, panels, manufacturing tolerances and garment construction may affect decoration placement.

 

12. GARMENT AND PRODUCT VARIATION

Products supplied by third-party manufacturers may vary between production batches. Reasonable differences may occur in garment dimensions, fit, colour shade, dye lot, texture, fabric composition, stitching, construction and other characteristics.

Manufacturer size labels are not a guarantee that two different brands, styles or production batches will have identical measurements or fit. Customers are responsible for reviewing applicable sizing information before placing an order.

Stay Golden Custom is not responsible for a customer's selection of an incorrect garment size or fit where the products supplied correspond to the products and sizes ordered. Normal garment shrinkage, fading, wear or other changes resulting from laundering, use or care are not considered production defects unless otherwise required by applicable law or a manufacturer's applicable warranty.

 

13. INVENTORY AND PRODUCT AVAILABILITY

Product availability can change quickly and supplier inventory displayed online or discussed during quoting is not guaranteed until the required goods have been secured for the order.

Manufacturers and suppliers may discontinue products, change specifications, experience shortages or alter available colours and sizes without notice to Stay Golden Custom. If a selected product becomes unavailable, Stay Golden Custom will propose a reasonably comparable alternative or offer a refund for the backordered goods. Stay Golden Custom will not materially substitute a garment or product without customer approval where the substitution would meaningfully change the order.

Changes in supplier availability may affect timelines.

 

14. CUSTOMER-SUPPLIED GOODS

Stay Golden Custom generally does not provide decoration on outside provided customer-supplied garments or merchandise.

In limited circumstances, Stay Golden Custom may agree in advance to decorate customer-supplied goods where a required product falls outside our normal supply chain or where other circumstances justify an exception.

Customer-supplied goods present additional production risk because Stay Golden Custom cannot control their manufacturing quality, materials, coatings, dyes, storage history or suitability for decoration. By providing customer-supplied goods for approved decoration, the customer acknowledges and accepts the risk that goods may be damaged, misprinted, stained, scorched, punctured, distorted, shrunk, discoloured or otherwise become unusable during normal decoration processes.

Stay Golden Custom is not responsible for replacing customer-supplied goods affected during decoration and does not guarantee replacement of the underlying item if a decoration error occurs.

 

15. PROMOTIONAL PRODUCTS AND THIRD-PARTY MANUFACTURING

Some promotional products, specialty goods, patches, labels, private-label products and other items may be manufactured or decorated by third-party suppliers or production partners.

The customer authorizes Stay Golden Custom to use suppliers and production partners where reasonably required to complete the order. Certain factory-produced or promotional products may be subject to supplier manufacturing tolerances, minimum quantities, overrun or underrun policies, setup requirements or other supplier-specific conditions.

Where a material supplier-specific condition affects an order, the applicable quote, invoice or order documentation may contain additional terms governing that product.

 

16. PRODUCTION TIMELINES

Production timelines provided by Stay Golden Custom are estimates unless a specific completion or delivery date has been expressly confirmed in writing as a guaranteed deadline. 

Estimated timelines may change because of inventory shortages, delayed customer approvals, supplier issues, equipment failures, carrier delays, unusually complex artwork, production problems, severe weather or other circumstances. A customer's event date, launch date, tournament, conference, opening, game, festival or other deadline does not automatically make that date a guaranteed delivery commitment.

Customers with a hard deadline should disclose that deadline before approving the order.

Stay Golden Custom will make reasonable efforts to meet confirmed timelines but is not responsible for indirect losses arising from a missed estimated date.

 

17. RUSH ORDERS

Stay Golden Custom may, at its discretion, accept orders requiring production faster than our standard timeline. Rush orders may require additional production, overtime, supplier or expedited shipping charges.

A rush fee does not guarantee a deadline unless Stay Golden Custom expressly confirms the deadline in writing. Rush orders are not always available and are at the sole discretion of Stay Golden Custom based on the season and production capacity.

Customer delays in payment, artwork, proof approval or other required information may invalidate a previously discussed rush timeline.

 

18. SHIPPING AND DELIVERY

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

Once an order has been transferred to a third-party carrier, transit times and delivery operations are outside Stay Golden Custom's direct control. Free ground shipping within Canada by Stay Golden Custom's preferred carrier is offered on orders of $300 or more before tax. All other shipping methods, including express or expedited shipping, are at an additional build cost to the customer. 

Stay Golden Custom is not responsible for delays caused solely by carriers, weather, customs, incorrect customer delivery information, inaccessible delivery locations or other circumstances outside our reasonable control.

Where appropriate, Stay Golden Custom will reasonably assist customers with carrier claims for lost or damaged shipments. Customers are responsible for providing a complete and accurate shipping address. Delivery to PO Boxes is often not possible with most couriers.

Additional shipping expenses caused by an incorrect address, refused delivery, redirection or unsuccessful delivery may be charged to the customer.

 

19. CUSTOMER PICKUP AND UNCLAIMED ORDERS

Customers selecting pickup are responsible for collecting completed orders within a reasonable period after being notified that the order is ready.

Stay Golden Custom may require payment of any outstanding balance before releasing an order.

Orders left unclaimed for an extended period of more than 30 days may be subject to reasonable storage arrangements or disposal after Stay Golden Custom has made reasonable attempts to contact the customer and provided reasonable notice.

 

20. RETURNS, DEFECTS AND ORDER CLAIMS

Because decorated and custom-manufactured products are produced specifically for each customer, custom goods are generally not eligible for return or exchange because of a change of mind, incorrect customer-selected size, preference or other issue unrelated to a production defect or Stay Golden Custom error.

Please refer to our Returns Policy for additional information regarding returns, exchanges and credits.

Any request for a return, reproduction, replacement, repair or credit must be made within 30 days of completion of the order unless a longer period is required by applicable law.

Customers should retain the affected goods and provide photographs, quantities or other reasonable information requested by Stay Golden Custom so that the issue can be reviewed.

If Stay Golden Custom confirms that goods materially fail to conform to the approved order because of an error attributable to Stay Golden Custom, we may, as appropriate and subject to applicable law, repair, reproduce or replace the affected goods, or issue a reasonable credit or refund relating to the affected portion of the order.

A defect affecting part of an order does not automatically entitle the customer to reject unaffected goods.

Nothing in these Terms removes statutory rights or remedies that cannot legally be excluded or limited.

 

21. CUSTOMER RESPONSIBILITIES

The customer is responsible for supplying accurate quantities, size breakdowns, names, numbers, delivery information, artwork instructions, deadlines and other order specifications.

The customer is responsible for reviewing communications from Stay Golden Custom and responding within a reasonable period when approval or information is required.

Stay Golden Custom is not responsible for delays or errors resulting from inaccurate, incomplete or late information supplied by the customer.

The customer is also responsible for ensuring that the intended product is appropriate for its intended use, particularly where specialized performance, safety, regulatory or technical requirements apply.

 

22. ARTWORK AND INTELLECTUAL PROPERTY

All artwork, logos, photographs, trademarks and other content submitted to Stay Golden Custom are subject to our Artwork, Intellectual Property & Content Policy.

By submitting content for reproduction, the customer confirms that it owns the content or has the authorization necessary to have Stay Golden Custom reproduce it.

Stay Golden Custom may refuse or pause an order if we reasonably believe the requested production may infringe intellectual property or other legal rights.

Our Artwork, Intellectual Property & Content Policy forms part of these Terms.

 

23. RIGHT TO REFUSE OR SUSPEND WORK

Stay Golden Custom reserves the right to refuse, suspend or cancel work where reasonably necessary because of suspected fraud, illegal content, intellectual property concerns, abusive conduct, safety concerns, non-payment, material breach of these Terms, inability to obtain required products or other significant legal or operational risk.

Where an order is cancelled for reasons not caused by customer breach, Stay Golden Custom will account for amounts paid and work completed and will provide any refund required by the circumstances and applicable law.

 

24. FORCE MAJEURE AND EVENTS OUTSIDE OUR CONTROL

Stay Golden Custom will not be liable for delay or failure to perform caused by events beyond our reasonable control.

Such events may include severe weather, fire, flood, power outage, equipment failure despite reasonable maintenance, labour disruption, transportation interruption, carrier failure, supplier failure, product shortages, cyber incidents, government action, public emergency, epidemic, pandemic, natural disaster or other comparable events outside our reasonable control.

Where such an event occurs, Stay Golden Custom may reasonably extend the affected production timeline or propose an alternative method of completing the order.

 

25. WARRANTIES

Stay Golden Custom warrants that it will provide its decoration and custom merchandise services with reasonable care consistent with the nature of the services being provided.

Except for express warranties stated in an applicable quote, manufacturer warranty, these Terms or rights that cannot legally be excluded, no additional guarantee is made regarding a product's suitability for a particular specialized purpose unless that purpose and requirement have been expressly communicated to and accepted by Stay Golden Custom in writing.

Third-party garments and products may also be subject to warranties, limitations and specifications established by their manufacturers.

Nothing in these Terms excludes a warranty, condition or legal right that cannot lawfully be excluded.

 

26. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Stay Golden Custom will not be liable for indirect, incidental, special, punitive or consequential losses arising from an order or use of our services, including lost profits, lost revenue, lost business opportunities, loss of goodwill or costs arising from the cancellation or disruption of an event.

To the maximum extent permitted by applicable law, Stay Golden Custom's aggregate liability arising from a particular order will not exceed the amount actually paid to Stay Golden Custom for the affected portion of that order.

These limitations do not apply to liability that cannot legally be excluded or limited, or to the extent a loss results from fraud, wilful misconduct or gross negligence by Stay Golden Custom.

 

27. INDEMNIFICATION

To the maximum extent permitted by applicable law, the customer agrees to indemnify and hold harmless 9892788 Canada Inc., doing business as Stay Golden Custom, and its directors, officers, employees and contractors from third-party claims, losses, damages, liabilities and reasonable costs arising from Customer Content, instructions or materials supplied or authorized by the customer, the customer's infringement of third-party rights, the customer's unauthorized use of products or the customer's material breach of these Terms.

This section does not require a customer to indemnify Stay Golden Custom for liability resulting from Stay Golden Custom's own fraud, wilful misconduct, gross negligence or other liability that cannot legally be excluded.

Additional intellectual property indemnification terms are contained in our Artwork, Intellectual Property & Content Policy.

 

28. PRIVACY

Our collection, use and handling of personal information are governed by our Privacy Policy and applicable privacy law.

By using our website or services, you acknowledge that information reasonably necessary to process an order may be shared with payment processors, shipping carriers, suppliers, production partners and other service providers involved in providing the requested services.

 

29. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE

The customer agrees that quotes, invoices, proofs, approvals, order confirmations, receipts, notices and other documents may be provided electronically.

An electronic approval, email confirmation, online acceptance, proof approval, invoice payment, deposit payment or other electronic action indicating agreement may be relied upon by Stay Golden Custom as authorization to proceed.

Customers should retain copies of quotes, invoices, proofs and other order documentation for their records.

 

30. RELATIONSHIP BETWEEN THESE TERMS AND OTHER AGREEMENTS

These Terms form part of the agreement between the customer and Stay Golden Custom.

Our Artwork, Intellectual Property & Content Policy, Privacy Policy, Returns Policy and any other policies expressly incorporated into an order also form part of the applicable agreement.

If a customer has entered into a separately signed written agreement with Stay Golden Custom that conflicts with these Terms, the separately signed agreement will govern to the extent of the conflict.

If a specific quote, invoice or written order confirmation contains a project-specific term that conflicts with a general provision of these Terms, the specific written order term will govern that project to the extent of the conflict.

 

31. NO WAIVER

If Stay Golden Custom does not immediately enforce a provision of these Terms, that does not mean the provision has been waived.

A waiver relating to one order, circumstance or breach does not automatically constitute a waiver relating to another order, circumstance or breach.

 

 32. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible, and the remaining provisions will continue in effect.

 

33. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein.

Subject to any mandatory rights or jurisdictional protections that cannot legally be excluded, disputes arising from these Terms or an order with Stay Golden Custom will be subject to the jurisdiction of the courts of Prince Edward Island.

Nothing in these Terms limits mandatory consumer rights or protections that apply to a customer under applicable law.

 

34. CHANGES TO THESE TERMS

Stay Golden Custom may update these Terms from time to time to reflect changes in our services, policies, operations or legal requirements.

The current version will be posted on our website with its effective date.

Changes will apply prospectively and will not retroactively alter a completed transaction or a separately agreed contractual right.
